Contributor Copyright Assignment Terms of Service

Effective Date: December 10, 2024

By submitting photos, videos, or other media content ("Content") through this form, you agree to the following Contributor Copyright Assignment Terms of Service ("Terms"). If you do not agree to these Terms, you may not submit Content to CitizenShipper LLC ("CitizenShipper").

1. Grant of Rights

By submitting Content, you irrevocably assign and transfer to CitizenShipper all rights, title, and interest in and to the Content, including but not limited to all copyrights and intellectual property rights, in perpetuity and worldwide. This grant includes:

• The exclusive right to use, reproduce, modify, adapt, publish, display, and distribute the Content in any medium or format.
• The right to sublicense, assign, or transfer these rights to third parties.
• The right to create derivative works based on the Content.

2. Warranty of Originality

You represent and warrant that:

• You are the sole creator and owner of the Content or have obtained all necessary rights and permissions to grant the rights set forth in these Terms.
• The Content does not infringe upon any copyrights, trademarks, or other proprietary rights of any third party.
• The Content complies with all applicable laws and regulations.

3. No Guarantee of Compensation

Submission of Content is voluntary, and CitizenShipper does not guarantee monetary or other compensation unless explicitly stated in writing. From time to time, CitizenShipper may, at its sole discretion, offer one-time compensation for certain submissions, but this does not create any ongoing obligation.

4. Content Use and Modification

CitizenShipper reserves the right to use, edit, alter, or modify the Content at its sole discretion, including but not limited to resizing, cropping, or color adjustments, without requiring further permission from you.

5. Indemnification

You agree to indemnify and hold harmless CitizenShipper, its affiliates, officers, directors, employees, and agents from any claims, damages, or expenses arising from a breach of your warranties or representations under these Terms.

6. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas, for any disputes arising from these Terms.

7. Entire Agreement

These Terms constitute the entire agreement between you and CitizenShipper regarding the submission of Content and supersede all prior communications or agreements.
